Organizer Agreement

Canadian Tax Obligations If you are a Canadian organizer, you represent and warrant that: (a) you are registered for GST/HST with the Canada Revenue Agency; (b) the GST/HST number you provided is valid, active, and assigned to your legal entity; (c) you will collect and remit all applicable GST/HST and provincial sales taxes (including QST where applicable) on registration fees as required by law; and (d) you will notify RaceFeed within 5 business days if your GST/HST registration is cancelled, suspended, or otherwise ceases to be active. RaceFeed relies on these representations in determining its own tax obligations. If any representation in this section is or becomes untrue, RaceFeed may suspend your account and withhold payouts until the issue is resolved.

By accepting, you confirm you are the authorized organizer or representative of your event(s) and have the legal right to collect registration fees on their behalf.

1. RaceFeed is a technology platform. RaceFeed provides registration software only. RaceFeed is not a co-organizer, co-sponsor, co-promoter, or co-owner of your event, and accepts no responsibility for event planning, delivery, athlete safety, permits, cancellation, or postponement. You are solely responsible for your event in its entirety.

2. Platform fee. RaceFeed retains 5% of each registration transaction, deducted automatically before payouts. There are no monthly, setup, or per-registrant fees beyond this 5%.

3. Payouts. Registration revenue is paid directly to your Stripe Connect account on Stripe's standard schedule. RaceFeed does not hold your funds and never has access to your bank credentials.

4. Refunds and chargebacks. You are solely responsible for your refund policy and for authorizing refunds. The 5% platform fee is non-refundable once a registration is processed. RaceFeed may withhold payouts or deduct chargeback amounts from future payouts where events generate excessive chargebacks or disputes.

5. Taxes. You are solely responsible for determining, collecting, and remitting all applicable taxes on registration revenue in your jurisdiction — including GST/HST for Canadian events and state, local, and federal taxes for US events. RaceFeed does not collect, remit, or advise on taxes.

6. Athlete data. Registration data belongs to you as the organizer. You are solely responsible for protecting it in compliance with applicable privacy laws (including CCPA and PIPEDA). RaceFeed is not liable for your use or misuse of athlete data.

7. Indemnification. You agree to defend, indemnify, and hold harmless RaceFeed LLC and its members, officers, employees, and agents from any and all claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your event, any athlete injury or claim, your violation of this agreement or any law, your misuse of athlete data, or any third-party claim related to your event or your use of the platform. This survives termination.

8. Limitation of liability. To the maximum extent permitted by law, RaceFeed's total liability for any claim is limited to the platform fees RaceFeed collected from your account in the 30 days preceding the claim. RaceFeed will not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including lost profits, revenue, data, or business.

9. Disclaimer of warranties. The platform is provided as is and as available, without warranty of any kind. RaceFeed disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement, and does not warrant the platform will be uninterrupted or error-free.

10. Acceptable use and termination. You will use RaceFeed only for legitimate athletic and endurance events. RaceFeed may suspend or terminate accounts for violation of this agreement, fraud, excessive chargebacks, or conduct that exposes RaceFeed to legal liability.

11. Intellectual property. RaceFeed retains all rights to the platform, its technology, design, and branding. You retain ownership of your event content and athlete data, and grant RaceFeed a limited license to use aggregated, anonymized data to improve the platform.

12. Governing law. This agreement is governed by the laws of the State of California, and disputes will be resolved in Los Angeles County, California.

13. Changes. RaceFeed may update these terms with 30 days notice; material changes require re-acceptance in the platform.

14. Payment processing. Payments are processed by Stripe under the Stripe Connected Account Agreement. By connecting a bank account you agree to Stripe's terms directly with Stripe.
